Governance

CFA Institute, a 501(c)6 organization incorporated in the state of Virginia, and its Board of Governors are committed to upholding a high standard of governance in the US not-for-profit sector. We aspire to align the organization’s public disclosure practices with US public company standards wherever practical and reasonable.

Our leadership

As defined by the Articles of Incorporation and Bylaws, the President and CEO, Leadership Team, and other executives report to our Board of Governors, which is the highest governing authority and is responsible for defining our vision, mission, and strategies.

The Board of Governors is the most senior corporate body, with ultimate responsibility for the strategy and the management of the organization. It works in conjunction with the Leadership Team, composed of staff members who manage their respective divisions.

Officer (Chair and Vice Chair) and Governor recommendations have been approved by the Board of Governors at their Q3 meeting held 3-4 May 2025. Candidate nominations identified below will be presented to the membership for election at the Annual Meeting of Members to be held virtually on 22 July 2025. The Notice of Meeting and Proxy Statement will be released to Regular Members on or about 29 May 2025.
